Terms of service

In force from 24 October 2026 · version 1.0

1. The provider

Cenovka is provided by Luka Brecelj s.p., Šutna 131, 4209 Žabnica, Slovenia, tax number 12483133, registration number 9694102000, e-mail info@cenovka.si (the provider).

2. Definitions

  • Service — the Cenovka web application, which maps items from a business system onto electronic shelf labels, with an audit trail and an operation queue.
  • Hardware — electronic shelf labels, access points and other equipment supplied by the provider under a quote.
  • Customer — a legal entity or sole trader who concludes a contract with the provider.
  • User — a natural person for whom the customer opens an account in the service.
  • Customer data — all data the customer or its users enter into the service or that the service reads from the customer's source.

3. Conclusion of contract

  • The contract is concluded when the customer opens an account and accepts these terms, accepts the provider's quote, or starts using an organisation the provider has opened for them.
  • The contract consists of these terms, the data processing agreement and any quote. Where a separate written agreement differs from these terms, that agreement prevails.
  • The service is intended for business use. On opening an account the customer confirms they are doing so for their business. If a consumer uses the service exceptionally, the mandatory provisions of Slovenian consumer protection law take precedence.

4. The service

  • The service is provided as software as a service. The customer does not receive a copy of the software.
  • The provider maintains and improves the service. If a change would materially reduce functionality the customer uses, the provider gives at least 30 days' notice, and the customer may terminate free of charge within that period.
  • The service only reads from the data source and never writes to it. The customer is responsible for the correctness of prices and other data sent to the labels.
  • The provider does not check the content of the data and is not responsible for whether announced reductions comply with price-indication rules, in particular article 15 of the Slovenian consumer protection act. The previous price, being the lowest of the last 30 days, is calculated by the customer's system; the service only carries it to the label.

5. User accounts and security

  • The administrator opens and closes user accounts, assigns roles and approves handhelds. The customer is responsible for the conduct of its users.
  • Passwords are personal and confidential. The customer notifies the provider without delay on any suspicion of unauthorised access.
  • On reasonable suspicion of abuse the provider may suspend an individual account and informs the administrator without delay.

6. Acceptable use

The customer and its users must not use the service to:

  • enter unlawful content or content they have no right to;
  • attempt to access other customers' data or circumvent security measures;
  • deliberately overload the service or scrape it automatically without agreement;
  • disassemble or modify the software, except as expressly permitted by law;
  • resell the service or make it available to third parties without written agreement.

7. Demo, prices and payment

  • On registering, the customer gets a free 30-day demo. It runs on sample data, is not connected to any shop and sends nothing to labels. The provider gives no availability undertaking for the demo.
  • The price of the software is published on the pricing page: EUR 299 one-off setup and EUR 29.90 per store per month. The price of the hardware is set in the quote, because it depends on the sizes and quantities chosen. A quote or separate agreement prevails over the published price list.
  • The provider is not registered for VAT (no VAT is charged, under the first paragraph of article 94 of the Slovenian VAT Act), so prices in the quote are final.
  • The service subscription is invoiced monthly in arrears; hardware is invoiced on delivery. Payment is due 15 days from the invoice date unless agreed otherwise. Statutory default interest applies to late payment.
  • If the customer is more than 30 days late and does not pay within 8 days of a written reminder, the provider may suspend access. Customer data is not deleted because of this.
  • The provider gives at least 30 days' notice of a price change. A customer who does not agree may terminate before the new prices take effect.

8. Availability, maintenance and support

  • The provider aims for uninterrupted availability but does not guarantee it. A specific service level applies only where agreed in writing.
  • Planned maintenance is normally carried out outside ordinary working hours and, where longer unavailability is expected, announced in advance. Urgent security work may be done without notice.
  • Database backups are made at least daily and kept for 14 days, with an encrypted copy kept at a separate location for 30 days.
  • Support is available by e-mail at info@cenovka.si on working days. The provider responds within a reasonable time.
  • The service depends on third-party systems: the customer's ERP, the label vendor's label system and internet connectivity. The provider is not responsible for their outages.

9. Customer data

  • Customer data remains the customer's. The provider uses it solely to deliver the service and on the customer's instructions.
  • The customer is responsible for the lawfulness and accuracy of the data it enters.
  • The provider may use anonymised technical data about the operation of the service for maintenance and improvement.

10. Personal data

  • For personal data within customer data, the customer is the controller and the provider the processor within the meaning of Article 28 GDPR. A data processing agreement governs the relationship.
  • For the customer's contact details, billing and security logs the provider is the controller. See the privacy policy.
  • The service is hosted with OVHcloud (OVH SAS, France) in a data centre in Germany, and encrypted backups with Hetzner Online GmbH, also in Germany. The data stays in the European Union.

11. Hardware

  • Labels and access points are supplied under the quote. Title passes to the customer on payment in full.
  • The warranty period is one year and applies on the manufacturer's terms. It does not cover damage from impact, water, or use outside the stated temperature range; ordinary labels work from 0 to 40 °C and the freezer variant from −20 to +30 °C.
  • The customer provides a suitable network environment in the store for the access points to work.

12. Connections to other systems

  • The customer establishes the ERP connection (Vasco, for instance) with their own credentials. The provider stores them encrypted and uses them only for the exchange the customer configures.
  • The connection to the labels is normally configured by the provider. At the customer's request the provider can hand it over for the customer to manage.
  • The provider is not responsible for the operation, availability or correctness of third-party systems, nor for changes to their interfaces. If a third party changes an interface, the provider will try to adapt within a reasonable time.

13. Intellectual property

All rights in the software, the design and the Cenovka mark belong to the provider. For the term of the contract the customer receives a non-exclusive, non-transferable right to use the service for its own business purposes. The provider may use suggestions for improvement without obligation.

14. Confidentiality

Each party keeps confidential all non-public information it learns about the other in connection with the contract. The obligation continues for 3 years after the contract ends and does not apply to information that is publicly available or must be disclosed by law.

15. Term and termination

  • The contract runs for an indefinite period unless agreed otherwise.
  • The customer may terminate at any time in writing, including by e-mail; it takes effect on the date stated, at the latest at the end of the current month. Use up to termination is invoiced. The provider may terminate in writing on 30 days' notice.
  • Either party may terminate immediately if the other materially breaches the contract and does not remedy it within 15 days of written warning.
  • Fees already paid for the period after termination are refunded pro rata, except where termination follows the customer's breach. Hardware that has been paid for remains the customer's.

16. Data export and switching provider

Under Regulation (EU) 2023/2854 (the Data Act) the customer has the right to move their data to another provider or to their own infrastructure:

  • At the customer's request, during the notice period and for a transition period of 30 days after the contract ends, the provider enables export of the customer's data in a structured, commonly used, machine-readable format (CSV or JSON), including codes and the relations between records. The transition period is extended on reasonable request.
  • The export covers items, prices, stores, labels and their bindings, templates, mappings, the audit trail and connection settings, without passwords or secret keys.
  • The provider charges nothing for export or for switching provider and gives reasonable assistance.
  • After the transition period the data remains available for collection for a further 30 days. The provider then deletes it within 30 days, unless it must be kept by law. It is removed from backups as those are overwritten, within 30 days.

17. Liability

  • The provider is liable for damage caused by breach of contract. It is not liable for indirect damage or lost profit, nor for damage arising from incorrect customer data, the conduct of users, third-party systems or loss of internet connectivity.
  • The provider's aggregate liability is limited to the fees the customer paid in the 12 months before the damage arose.
  • These limits do not apply to damage caused intentionally or by gross negligence, nor to damage to life or health.
  • Neither party is liable for failure to perform due to force majeure, for as long as it lasts.

18. Changes to these terms

The provider notifies administrators of changes by e-mail and in the service at least 30 days before they take effect. A customer who does not agree may terminate free of charge before that date. Changes required by law, and corrections that do not reduce the customer's rights, may take effect sooner.

19. Contact point and reporting illegal content

The provider's contact point for users and authorities under Regulation (EU) 2022/2065 (the Digital Services Act) is info@cenovka.si; we communicate in Slovenian and English. Content in the service is not published publicly but is stored at the customer's request. Anyone who believes illegal content is stored in the service may report it to that address with a description, the reasons and their contact details. The provider handles reports carefully and without delay and informs the customer of any measure taken. The provider does not otherwise review or moderate content.

20. Final provisions

  • The contract is governed by the law of the Republic of Slovenia.
  • The parties settle disputes amicably. Failing that, the competent court in Kranj has jurisdiction.
  • If a provision is invalid, the validity of the others is unaffected; the parties replace it with a valid provision closest to the original intent.
  • Notices are sent by e-mail to the provider's address and to the e-mail addresses of the customer's administrators.
